The payment schedule will be documented in the quotation, invoice, or written project agreement.
Any final payment required under the agreed terms must be completed by the applicable due date.
For milestone-based projects, payment delays may result in corresponding delays to subsequent work or delivery.
We reserve the right to pause services for overdue payments after providing reasonable notice, subject to the agreed contract and applicable law.
7. Client Responsibilities
To support efficient project delivery, clients are responsible for providing accurate and complete information relevant to their projects.
This may include:
- Business name and contact details
- Website content and page text
- Logos and brand assets
- Images and videos
- Product information
- Domain and hosting access
- Necessary website credentials
- Feedback and project approvals
- Legally required business policies or disclosures
Clients must ensure that materials supplied to Web Coden do not violate applicable laws or third-party intellectual property rights.
Clients should also ensure that submitted information is accurate and that they have permission to provide any third-party personal information.
Delays in providing required materials, approvals, or access may extend the project timeline.
8. Project Timeline and Delivery
Estimated development timelines depend on project complexity and the availability of required materials.
Typical estimated timelines may include:
- Starter websites: 5–7 business days
- Standard business websites: 7–14 business days
- Basic WooCommerce stores: 15–25 business days
These are estimates rather than guaranteed completion dates.
Actual delivery may be affected by:
- Changes in project requirements
- Delays in client feedback
- Delayed content or credential submissions
- Third-party platform availability
- Hosting or domain issues
- Additional functionality requests
- Technical problems beyond reasonable control
Web Coden will make reasonable efforts to communicate significant changes to agreed timelines.
Where a particular completion deadline is essential, it should be expressly included in the written project agreement.
9. Design Revisions and Changes
Revisions are intended to refine work within the originally agreed scope.
Our standard proposed revision allowances are:
- Starter Plan: 1 revision round
- Standard Plan: 2 revision rounds
- Premium Plan: 2 revision rounds
A revision round means one consolidated set of reasonable feedback or modifications within the approved project scope.
Examples of normal revisions may include:
- Minor text adjustments
- Color changes
- Spacing adjustments
- Small layout modifications
- Image replacements
- Minor styling improvements
The following may be treated as additional work:
- Complete website redesigns after design approval
- Significant structural changes
- Additional website pages
- New functionality
- New third-party integrations
- Major changes to previously approved layouts
- Changes that substantially increase development time
If a requested change falls outside the agreed scope, we will communicate any additional cost or timeline before proceeding.
10. Client Review and Approval
During development, Web Coden may request feedback or approval for designs, layouts, website functionality, or completed milestones.
Clients are expected to review submitted work within a reasonable period.
Approval of a design or development milestone indicates that the client accepts that stage for purposes of continuing the project.
Material changes requested after approval may require additional development time and charges.
Final project acceptance will be determined by the agreed deliverables and any acceptance procedure stated in the project agreement.
11. Website Testing and Compatibility
We aim to develop responsive websites that function appropriately on commonly used devices and current versions of major web browsers.
Testing may include:
- Mobile responsiveness
- Navigation and page functionality
- Contact forms
- Basic website performance
- Common browser compatibility
- Agreed website integrations
- Basic functional testing
Compatibility with older browsers, unsupported devices, or specialized systems is not included unless specifically agreed.
Third-party plugins and external services may change over time, potentially affecting website behavior.
12. WordPress Themes, Plugins, and Third-Party Services
Web Coden may use WordPress themes, plugins, frameworks, APIs, and other third-party technologies when providing services.
These technologies may be governed by their respective licensing terms, subscription requirements, privacy policies, and support conditions.
Clients are responsible for recurring third-party charges unless an alternative arrangement is expressly agreed.
Web Coden is not responsible for independent changes, outages, pricing decisions, or discontinuation of third-party services.
Issues caused by third-party updates or external service changes may require separate maintenance or troubleshooting work.
13. Website Hosting and Domain Registration
Domain registration and web hosting are not automatically included in our development packages.
Where requested, Web Coden may assist with:
- Hosting setup
- Domain configuration
- DNS settings
- SSL configuration
- WordPress installation
- Website migration
- Website deployment
Unless specifically stated otherwise, the client is responsible for domain and hosting fees, renewals, and compliance with the provider’s terms.
Failure to renew a domain, hosting service, or required subscription may cause website disruption.
14. Website Maintenance and Post-Launch Support
Our proposed standard packages include limited post-launch support for defects relating to the original development work:
- Starter Plan: 7 days
- Standard Plan: 14 days
- Premium Plan: 30 days
Post-launch bug support is intended to address reproducible defects in functionality included in the agreed deliverables.
It does not ordinarily include:
- New pages or features
- Major design changes
- Routine content updates
- Third-party subscription renewals
- Problems caused by unauthorized modifications
- New integrations
- Ongoing SEO campaigns
- Issues resulting from changes made after delivery by other parties
Extended website maintenance and support may be available under a separate agreement.
15. Website Ownership and Intellectual Property
Unless otherwise agreed in writing, ownership of the final custom website deliverables specifically created for the client will transfer to the client upon receipt of all agreed payments, to the extent those rights are legally transferable.
Third-party themes, plugins, fonts, stock assets, and other licensed materials remain subject to their respective licenses.
Web Coden retains ownership of its pre-existing tools, methods, reusable code, templates, processes, and intellectual property that were not specifically transferred under the project agreement.
Clients retain rights to their own logos, trademarks, business information, and other materials supplied for the project.
Both parties must respect applicable licensing obligations and third-party intellectual property rights.
16. Portfolio and Project Showcasing
Web Coden may request permission to showcase completed work in its portfolio, case studies, or promotional materials.
We will respect written confidentiality obligations and any contractual restrictions on publishing client information.
Where permission is required, the relevant project materials will not be publicly showcased without appropriate authorization.
17. Confidentiality
Both Web Coden and its clients should treat confidential project information with reasonable care.
Confidential information may include:
- Website credentials
- Business strategies
- Customer information
- Private technical documentation
- Unpublished website materials
- Proprietary business data
- Financial or commercially sensitive information
Information may be disclosed where authorized, necessary to provide agreed services under suitable confidentiality arrangements, or required by applicable law.
18. Search Engine Optimization and Business Results
Web Coden may implement basic technical and on-page SEO practices as part of certain website packages.
However, search engine rankings depend on factors beyond website development, including competition, content quality, search engine algorithms, backlinks, and ongoing optimization.
We do not guarantee:
- Specific Google rankings
- First-page search results
- Particular traffic volumes
- Sales or revenue growth
- Lead generation targets
- Specific conversion rates
- Permanent website performance scores
Any specific performance commitment must be separately documented in writing.
19. Refunds and Cancellations
Project cancellations and refund requests are governed by our separate Refund & Cancellation Policy, the agreed project contract, and applicable consumer protection laws.
Refund eligibility may depend on:
- Whether work has started
- Work already completed
- Expenses already incurred
- Approved milestones
- The reason for cancellation
- The terms agreed before the project began
Where applicable law provides mandatory refund or other consumer rights, those rights will prevail over conflicting contractual provisions.
20. Client-Initiated Project Delays
If a project is delayed because required client content, credentials, feedback, or approvals have not been provided, Web Coden may adjust the estimated delivery schedule.
For extended periods of inactivity, we may request confirmation before continuing the project.
Any project pause, reactivation charge, or revised delivery arrangement will be communicated and agreed upon where applicable.
21. Service Refusal and Termination
Web Coden may decline or terminate a service engagement for legitimate reasons, including:
- Unlawful project requirements
- Fraudulent or misleading information
- Serious contractual violations
- Repeated non-payment
- Abusive or threatening conduct
- Requests that infringe intellectual property rights
- Other material breaches of the project agreement
Where appropriate, we will provide notice and an opportunity to resolve the issue.
Any outstanding payments, refunds, deliverables, and client rights will be handled in accordance with the agreed contract and applicable law.
22. Limitation of Liability
Web Coden will exercise reasonable care and skill when providing its services.
To the extent permitted by applicable law and subject to any separate written agreement, Web Coden will not be responsible for losses arising solely from circumstances outside its reasonable control, including third-party service outages, unauthorized client changes, or failures of external infrastructure.
Nothing in these Terms excludes liability or remedies that cannot lawfully be excluded under applicable Indian law.
Any contractual limitation of liability must be interpreted consistently with applicable consumer protection requirements and mandatory legal rights.
23. Third-Party Websites and External Links
Our website may include links to external websites, software platforms, payment services, and other third-party resources.
We do not control those external services and are not responsible for their independent content, policies, or availability.
Users should review relevant third-party terms before using those services.
24. Privacy and Personal Information
Personal information submitted through our website or during a service engagement will be handled in accordance with our Privacy Policy and applicable data protection laws.
Please review our Privacy Policy at:
25. Force Majeure
Neither party will be responsible for delays caused by extraordinary circumstances beyond its reasonable control, to the extent permitted by applicable law.
Such circumstances may include natural disasters, widespread infrastructure failures, government restrictions, major network outages, or similar disruptive events.
The affected party should communicate the situation and take reasonable steps to reduce the impact where practicable.
26. Changes to These Terms
Web Coden may update these Terms to reflect changes in services, business operations, or applicable legal requirements.
Updated Terms will be published on this website with a revised “Last Updated” date.
Material changes affecting an existing project agreement will not automatically replace previously agreed contractual terms without an appropriate legal or contractual basis.
27. Governing Law and Dispute Resolution
These Terms are governed by the applicable laws of India.
In the event of a dispute, the parties should first attempt to resolve the matter through good-faith communication.
If the dispute cannot be resolved informally, it may be referred to the appropriate court, consumer commission, or other competent authority in accordance with applicable law.
Nothing in these Terms restricts any mandatory legal rights or remedies available to consumers.
